Acceptance of terms
By creating an account, accessing, or purchasing any part of Nexus Passport, you agree to these Terms of Service, our Privacy Policy, our Refund Policy, and our Acceptable Use Policy. If you are accepting on behalf of a school, NGO, agency, or other organization, you confirm that you have authority to bind that organization.
Who we are
Nexus Passport is operated by EmpowerEd Nexus (M.P.W.E.R.E.D.N) SARL, Nkolbisson, Yaoundé, Cameroon, NIU M042517719598B, RCCM YAO/2025/B/962 (“EmpowerEd Nexus”, “we”, “us”).
Product description
Nexus Passport is an offline-first learning and opportunity platform that includes Nexus Learn OS, LMS tools, AI-assisted learning tools, EduBox offline learning workflows, marketplace resources, certificates, analytics, subscriptions, school pilot applications, and education deployment services.
Eligibility
You must be old enough under applicable law to form a binding contract or be using the Service through a parent, guardian, school, or organization that does so on your behalf.
Accounts and security
You are responsible for the activity that happens under your account. Keep your credentials confidential and notify us promptly if you suspect unauthorized access. We may require additional verification before granting certain features.
User roles and verification
Nexus Passport supports learner, teacher, school admin, NGO, agency, vendor, and partner roles. Some roles require verification of identity, organization, or credentials before full activation. You must not misrepresent your role, identity, organization, or verification status.
Schools and organization workspaces
Schools, NGOs, and other organizations may invite users into a shared workspace. Within that workspace, organization administrators may see and manage activity belonging to invited users in line with the workspace’s purpose, such as instruction, certificates, and reporting.
LMS, courses, quizzes, grades, and certificates
Teachers and admins may create and publish courses, quizzes, gradebooks, and certificates. You are responsible for the accuracy of materials and grades you produce. Certificates issued through Nexus Passport reflect what the issuing teacher, school, or organization records and are not, on their own, a national qualification.
EduBox offline learning and sync
EduBox enables offline learning experiences that synchronize back to the platform when connectivity is available. Sync requires accurate device configuration. Some features depend on the EduBox device, content package, and your local environment.
AI Tutor and AI-generated content
AI Tutor, lesson generators, quiz builders, and similar features use machine learning models to assist learning. AI outputs may be inaccurate or incomplete. Teachers remain responsible for reviewing AI-generated lessons, quizzes, and materials before publishing. AI outputs are not professional medical, legal, financial, or other regulated advice. Do not use AI features to produce harmful, fraudulent, or high-risk professional advice without qualified human review.
Marketplace resources
The marketplace lets vendors list and sell digital learning resources. By listing a resource you confirm you have the rights to do so, and you agree to our Acceptable Use Policy. Buyers receive a license to use purchased resources for educational purposes consistent with the listing description and applicable law.
Subscriptions and paid services
Subscriptions (such as Student Premium and Teacher Pro) renew automatically unless canceled before renewal. You can manage subscriptions through the billing portal where available. Canceling a subscription stops future renewal but access may continue until the end of the paid billing period, depending on plan and Paddle handling. Past-due, failed, canceled, or refunded payments may limit premium access. Organization plans may require verification before full activation.
Payment processing
Payments may be handled manually through Eversend, mobile money, bank transfer, Flutterwave, or other approved providers. Access is activated after EmpowerEd Nexus confirms payment. Paddle.com may apply only to purchases that are explicitly processed through Paddle if that channel is enabled later; for those purchases, Paddle acts as Merchant of Record and its Buyer Terms and Refund Policy apply in addition to ours. EmpowerEd Nexus remains responsible for operating Nexus Passport and delivering access to the purchased product or service.
Billing, taxes, renewals, and cancellation
Prices are shown at checkout in the listed currency and may exclude taxes that Paddle calculates and collects based on your location. You authorize recurring charges for subscription plans until you cancel. Cancellation takes effect at the end of the current billing period. Failed payments may be retried, and access may be limited if not resolved.
One-time purchases and digital delivery
Starter packs, exam packs, readiness calls, consultations, and similar one-time purchases are delivered digitally or as scheduled sessions. Once a digital resource is delivered, accessed, or downloaded, it may not be eligible for refund except as required by law or Paddle’s policies.
Pilot deposits and deployment services
Pilot reservations and pilot setup deposits secure planning and onboarding capacity. Specific scope, timelines, and deliverables are confirmed during pilot planning. See the Refund Policy for refund handling specific to pilot deposits.
Refunds
Refund eligibility is described in our Refund Policy. Customers may also use the support options provided in their Paddle receipt to contact Paddle buyer support directly.
Acceptable use
Your use of Nexus Passport is subject to our Acceptable Use Policy. Violations may lead to suspension or termination.
Intellectual property
EmpowerEd Nexus and its licensors own the Nexus Passport platform, software, designs, and brand. Nothing in these Terms transfers ownership of our intellectual property to you. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.
User content and uploaded content
You retain ownership of content you create or upload (lessons, quizzes, marketplace listings, submissions). You grant EmpowerEd Nexus a worldwide, non-exclusive license to host, store, transmit, display, and process that content as needed to operate the Service and deliver the features you use.
Open educational resources and third-party content
Some content available through the Service is licensed from third parties or distributed as open educational resources. Use of that content is subject to the applicable third-party license.
Service availability
We work to keep Nexus Passport available, but we do not guarantee uninterrupted or error-free operation. Some features depend on connectivity, third-party services, EduBox devices, and local environments.
Beta, pilot, and testing features
Features marked beta, pilot, or experimental are provided “as is” and may change or be discontinued at any time. They may not have the same availability, support, or performance as generally available features.
Suspension and termination rights
EmpowerEd Nexus may suspend or restrict access for misuse, fraud, payment failure, abuse, role misrepresentation, security risk, violation of acceptable use, or legal/compliance requirements. Where appropriate we will try to give notice and an opportunity to cure.
Account deletion
You can request account deletion from Settings or by contacting support. Some records may be retained where required for legal, accounting, certification, or institutional reasons.
Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Health, legal, financial, and similar content is informational and not professional advice.
Limitation of liability
To the maximum extent permitted by law, EmpowerEd Nexus and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill arising from or related to your use of the Service. Our aggregate liability for any claim will not exceed the amounts you paid us for the Service in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnity
You agree to indemnify and hold harmless EmpowerEd Nexus from claims, damages, and expenses arising from content you upload, your violation of these Terms or the Acceptable Use Policy, or your misuse of the Service.
Changes to the service and terms
We may add, change, or discontinue features. We may update these Terms; material changes will be communicated through the Service or by email and will take effect on the date stated. Continued use after the effective date means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Republic of Cameroon, unless otherwise required by applicable consumer protection law in your country of residence. Disputes will be brought in the competent courts of Yaoundé, Cameroon, subject to mandatory consumer rights.
